Providing legal support and advice on the effect of all agreements with external parties.
Assist the Head of Legal in the negotiation and settlement of commercial arrangements (e.g. loans, leases, purchase agreements, acquisitions, divestitures) and draft and review legal documents that protect the organisation's legal and business interests.
Assist in conducting legal due diligence on potential acquisition targets.
Instructing external counsel where necessary for litigation matters and acting as liaison between external counsel and company stakeholders to ensure proper and adequate flow of information necessary.
Assist in overseeing legal defence actions and represent the organisation in matters before courts, government agencies, or other authorities in order to protect the organisation's legal and business interests.
Prepare materials for external legal counsel and manage these relationships to ensure that the organisation's interests are well-represented.
Ensuring compliance of laws and regulations for all operations in the organization.
Maintaining company secretarial records and department database for case management and templates.
Job Requirements :
Bachelor's Degree - Law / Life Science related discipline preferred / Added advantage Certificate in Legal Practice (CLP).
Qualified Lawyer with at least 6 to 8 years of corporate experience.
Drafting / Reviewing and negotiating complex commercial contracts / Respond to legal queries and conduct research on legal queries.
Experience in Compliance related manners, preferably Healthcare Compliance.
Able to speak in Thai language would be ideal.
Great exposure to Contract Management System.
Able to formulate responses to Letter of Demand and liaise with external counsels on litigation matters.
Well-versed in Corporate / Commercial Law, Employment Law, Intellectual Property, and Contract Law.
Experience in Life Science / Pharmaceutical Industry / Medical Device Industry is an added advantage.
Good negotiation skills are preferred.
