Senior Executive / Assistant Manager Legal Compliance & Secretarial

• Assist in review, drafting & vetting of commercial contracts, tenancy agreements, NDAs, service agreements, and other legal documents.
• Conduct legal research & monitor developments in laws and regulations affecting the Company.
• Maintain & manage the legal database and contract repository.
• Liase with internal stakeholders and external solicitors on legal matters and disputes.
• Review draft board & committee minutes, notices, resolutions, and related secretarial documents prepared by the external company secretary.
• Draft & prepare Annual Report, Circular / Statement to Shareholders.
• Coordinate preparation of AGM / EGM materials.
• Monitor compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and corporate governance best practices.
• Act as liaison with the external company secretary under the direction of the Head of Dept, ensuring proper coordination & consistency in communication.
• Assist in implementing & monitoring internal policies and procedures to ensure compliance with applicable legal and regulatory requirements.
• Support governance initiative including review and update of internal policies (e.g., code of conduct, Anti‑Bribery & Corruption policy, whistleblower policy).
• Coordinate compliance reporting and regulatory filings, including those required by Bursa Malaysia.
• Maintain internal compliance and governance registers and ensure proper documentation.
• Draft correspondences, management approval, internal reports, and presentation materials.
• Assist in the preparation of announcements to Bursa Malaysia and internal corporate records.
• Provide administrative and coordination support strictly on matters relating to legal, governance, and compliance as delegated.
• During urgent periods or peak workloads, undertake any other duties assigned by the HOD, including supporting ad‑hoc projects, time‑sensitive legal or governance matters, or urgent documentation requirements.
• Handle purely administrative or logistical tasks through designated administrative personnel unless otherwise directed by the HOD.
