We are looking for Legal Manager that will be primarily responsible for independently drafting, reviewing and advising on contracts and other legal matters arising from the day-to-day activities of the Company and its group of companies. The Legal Manager will also provide legal support on corporate governance, risk, regulatory and compliance matters where required.

You will play an important role to :
Contract Management
Drafting, negotiating and reviewing contractsAdvising business units on contractual matters including liability, exposure, obligations and risk allocation
Providing sound legal advice to management, business units and all other relevant departments in the Company and its group of companies as and when required
Planning and conducting training sessions on issues relevant to the businessCorporate Governance & Secretarial
Ensuring the Company and its group of companies comply with applicable corporate governance requirements and statutory obligationsOverseeing the preparation, review and timely submission of board resolutions, members' resolutions and other statutory filingsCoordinating with company secretaries and external advisers to ensure proper maintenance of statutory registers, records and corporate documentsManagement of External Counsel
Instructing and liaising with external legal counselActing as the primary point of contact between external counsel and management / business unitsCompliance & Risk Management
Conducting legal risk assessments on business initiatives, projects and contracts to identify exposures and recommend mitigation measuresDeveloping standard operating procedures aligned with business objectives and regulatory requirementsSupporting the Compliance Officer in addressing compliance risks, where legal input is necessaryAssisting in the review and enhancement of compliance policies, standard operating procedures and handbooks, when requiredTo be successful in this role you will need to have :
Possess a Degree in Law with at least 6 years of experience in legal practice and / or in-house counsel roles, preferably gained in reputable companies or law firmsStrong background in contract management, corporate governance, corporate secretarial work and corporate lawsGood analytical and drafting skills, organized and committed to deadlinesExcellent interpersonal and communication skills, with strong proficiency in both written and spoken English. Proficiency in Mandarin is an added advantage but not mandatory
