Senior Manager, Secretarial to join a global oil & gas services provider Your New Company Our client is an oil & gas services provider with a global footprint, and they are looking for a Senior Manager, Secretarial, to lead their Corporate Secretarial team. Your New Role As the Senior Manager, your responsibilities include but are not limited to :
- Managing Board and Shareholder matters, including organizing meetings, preparing agendas, drafting resolutions, and preparing board papers for Board, Shareholders, Board Committees, and Management,
- Providing secretarial support for corporate exercises, ensuring compliance and accuracy, along with advising on governance practices.
- Drafting, reviewing and verifying corporate information for Annual Report purposes, including arranging for the relevant reports / contents of the Annual Report & Sustainability to be reviewed and approved by the Board and Board Committees (when required).
- Liaise with the Companies Commission of Malaysia (CCM), solicitors, auditors, and other departments within the Group to ensure all documents meet statutory requirements to ensure compliance with the Companies Act 2016 and related laws, promoting best practices in corporate governance and identifying compliance risks.
- Monitor and analyze changes in relevant laws, regulations, and governance practices, providing recommendations to Management to ensure ongoing compliance and identify areas for improvement in secretarial processes to enhance efficiency and compliance.
- Develop and implement policies and procedures to strengthen corporate governance and statutory compliance and help to coordinate induction programs and ongoing training sessions for Board members on governance and compliance obligations.
