The South Asia Legal Counsel is responsible as the primary in-house legal counsel for the Lesaffre Group in South Asia Countries (Malaysia, Singapore, Indonesia, Thailand and Philippines) providing comprehensive legal support and guidance to ensure compliance and mitigate legal risks across all business operations.
Responsibilities
- Compliance with local governmental HSE regulations, Lesaffre fundamental principles and the safety policy.
- Participate in entity safety activities and lead by example (rules application, PPE wearing, safety visits, accident analysis, safety committees).
- Participate in risk assessment of own job area.
- Follow the safety action plan of own perimeter.
- Establish safety rules in your perimeter, communicate them, and ensure their understanding and application by your team.
- Start all meetings (eight persons minimum) with a safety contact.
- Encourage safe acts and discourage unsafe acts.
- Report unsafe conditions / acts and near misses to the managers.
- Report within 12 hours all recordable accidents to the next level of management.
- Report monthly all recordable accidents and first aid incidents in your perimeter.
- Participate in the target-setting process for safety KPIs.
- Be part of the recognition & sanction program.
- Follow and comply with all other health and safety standards, procedures, processes and initiatives set by the company.
- Contracts
Drafting, reviewing, and negotiating a wide range of commercial contracts, including sales agreements, distribution agreements, supply agreements, service contracts, non-disclosure agreements, and other business agreements
Ensuring contractual terms and conditions are aligned with the company's commercial objectives and risk appetiteAdvising business stakeholders on contractual matters and providing practical solutions to address legal risksCreating and maintaining standardized contract templates and clausesSupporting the development and implementation of robust contract management processes to ensure proper execution, storage, and renewal of contractsManaging and coordinating external legal advisors assisting in contract review and negotiationCorporate and JV MattersTaking the role of Board secretary, when needed, of the different joint-ventures entities in Indonesia and Vietnam, organize, participate and prepare minutes for all the Board / General meetings and other corporate documentation
Coordinating and supervising the corporate legal support of the legal entities in the South Asia region and any potential future legal entity to be incorporated in South Asia Countries.Providing legal support and advice on corporate matters, such as entity formations, mergers and acquisitions, joint ventures, and restructuringsEnsuring compliance with relevant corporate laws and regulations, including but not limited to the Company Law, Foreign Investment Law, and related implementing rulesCoordinating and supervising the preparation and filing of corporate documents and registrations with local authoritiesCoordinating and supervising all corporate filing formalities, including updating articles of association and changes to shareholders / directors / supervisors / general managersAdvising on the legal management of joint venture operations, including compliance, partner relations, and exit strategiesMonitoring changes in joint venture regulations and implementing necessary adjustmentsManaging and coordinating external legal advisors assisting in Corporate lawLitigationsMonitoring different disputes and assisting the trade and finance teams in major debt collection procedures with the support of an external law firm
Managing litigation and dispute resolution matters, including managing external legal advisors who represent the companies in court proceedings, arbitrations, and administrative proceedingsDeveloping litigation strategies and engaging with external counsel as requiredAnalyzing legal risks and advising on appropriate courses of action to mitigate disputeCoordinating external lawyers assisting the entities regarding litigations on environmental law mattersLegal watchCoordinating with external service provider the legal watch and update on laws, regulations, and precedents
TrainingAssessing the legal training needs of employees and organizing relevant training processes
Qualifications
Lawyer with relevant 7 to 10 years’ experience, preferably in the manufacturing industry and with regional or international experience.Good understanding of corporate and contract laws in the southeast Asia region.Excellent drafting, negotiation, and communication skills in English.Ability to work independently, prioritize tasks, and manage multiple projects simultaneously.Strong analytical and problem-solving skills, with a solutions-oriented mindset.Proficient in the use of legal research tools and document management systems.Familiarity with corporate governance best practices and compliance requirements.Team spirit and ability to build a strong team together with the North Asia In House Lawyer, and more generally the Lesaffre Legal Community.Regular travel across Asia and occasionally to Europe.Additional Information
