Company Secretary (COSEC) (Senior) (Mandarin Speaker)

What you will do?

• Ensure the company complies with the Companies Act, SSM regulations, and other statutory requirements. 确保公司遵守《公司法》、SSM 规定及其他法定要求。
• Organize and coordinate Board of Directors’ meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM). 组织和协调董事会会议、年度股东大会及特别股东大会。
• Prepare and review resolutions, minutes of meetings, and other statutory documents. 准备和审核会议决议、会议记录及其他法定文件。
• Lodge annual returns, financial statements, and other statutory filings with SSM on time. 按时向 SSM 提交年度报表、财务报表及其他法定申报。
• Advise the Board of Directors on corporate governance, compliance, and directors’ duties. 为董事会提供公司治理、合规及董事职责方面的建议。
• Liaise with regulators, auditors, tax agents, lawyers, and other stakeholders. 与监管机构、审计师、税务顾问、律师及其他相关方保持沟通。
• Supervise, mentor, and review the work of junior secretarial staff. 监督、指导及审核初级秘书团队的工作。
• Handle ad-hoc assignments and provide support to management as required. 根据需要处理临时性任务并为管理层提供支持。
