The Legal Counsel position will be part of the APAC legal team and is responsible for serving as the legal advisor to Olympus Singapore / Olympus Malaysia and its distribution network within Southeast Asia. Legal Counsel will oversee all legal matters for the company's medical and corporate businesses. This role will cover a wide range of legal matters, including commercial contracts, regulatory compliance, corporate governance, and risk management. The role requires a balance of legal expertise, commercial acumen, and strong stakeholder engagement, and will work closely with other APAC Legal counsels as well as external legal counsel.
Key Accountabilities
- Advises senior management and business unit colleagues on legal risks and best practices for commercial transactions and corporate matters.
- Develops and implements contract templates and associated processes to ensure efficient and effective delivery and consumption of legal services while protecting the Company's risk profile.
- Support the building up of a legal function against the industry benchmark and in line with the Olympus legal function vision
- Ensures compliance with the law and internal corporate policies. Works closely with Business, HR, Finance, Medical Affairs and Compliance colleagues to maintain strong control environment.
- Remains current with applicable laws and regulations impacting the relevant industries as well as the Company's activities
- Manage and coordinate with external counsel, ensuring high-quality, cost-effective legal support.
- Reviews, negotiates, and drafts agreements on behalf of the Company on a variety of business and transactional matters. Ensures all contracts are further the business plan of the product group and accurately reflect the business terms agreeable to senior management and consistent with the risk profile of the organization.
- Adopts and implements APAC Legal Department standards and best practices.
- Assist in facilitating and monitoring litigation on behalf of the Company, coordinating with APAC Legal Department and legal management, and assisting outside counsel retained for purposes of the particular litigation, and reporting on the progress of the litigation to management.
- Provides legal support to management on a variety of commercial and corporate transactional subjects to minimize legal exposure (including but not limited to advice regarding corporate governance, intellectual property, antitrust, healthcare, labor and employment, litigation, regulatory and other matters).
- Research legal subjects to prepare and make recommendations, including memorandum of advice to the legal management.
- Conducts training and education or oversees it on major legal risk areas, antitrust privacy and data protection, corporate policies, and standard operating procedures.
- Ensure that business units and / or functional clients maintain awareness of major developments in the laws and regulations affecting the Company's operations.
- Performs other duties assigned by legal management
- Medical device or Pharma Industry experience are beneficial
- Perform specific legal work tasks in APAC with the potential to develop an APAC excellence center for a specific legal area in the future.
- Participating in APAC / Global projects
Key Requirements
5+ years of legal experience of combined law firm and in-house experience.Experience working within medical device, pharma, healthcare, or other highly regulated industry is preferred.Strong knowledge of commercial law and regulatory frameworks in Malaysia and preferably Singapore as well.General knowledge of Asia Pacific region and legal environment and landscape.Ability to work independently, manage multiple priorities, and partner effectively with business stakeholders.Self-motivated and proactive, able to manage multiple priorities and exercise good independent judgment.Excellent oral and written communication skills, with the ability to communicate effectively across various levels and functions within an organization.Strong collaboration and interpersonal skills with the ability to influence and drive change cross an organisation.We are deeply committed to fostering a respectful, fair, and welcoming workplace for all individuals, perspectives, and lifestyles.
