Job Description
- Establish and maintain robust governance frameworks to ensure compliance with the Companies Act, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance, and other relevant laws. Continuously improve governance practices to uphold the company's reputation and accountability.
- Act as the main advisor to the Board and its committees on legal, governance, and fiduciary matters. Manage Board and committee meetings by preparing agendas, minutes, and resolutions efficiently.
- Oversee company secretarial functions for group company and subsidiaries, including maintaining statutory records, filing regulatory returns, and communicating Board decisions.
- Provide expert guidance on corporate structure, shareholding, director duties, and corporate transactions such as mergers, acquisitions, and restructuring, ensuring full compliance with legal requirements.
- Ensure timely and accurate statutory filings with regulatory bodies (SSM, Bursa Malaysia, Securities Commission), and coordinate secretarial audits to identify and address compliance risks.
- Implement and maintain secure digital systems for managing Board documentation and secretarial workflows to ensure accuracy and confidentiality.
- Foster strong relationships with internal teams, regulators, legal advisors, and external stakeholders to support compliance and governance, including during due diligence and investor engagements.
- Lead and develop the Secretarial team, promoting high performance, professional integrity, and effective resource and continuity planning.
The Successful Applicant
Holder of an ICSA qualification and registered member of MAICSA, or possess an equivalent certification in corporate secretarial practice along with a valid license issued by the Companies Commission of Malaysia to serve as a Company Secretary.A minimum of 15 years of relevant professional experience, including at least 10 years dedicated to corporate secretarial duties, preferably within publicly listed companies.Comprehensive knowledge of Bursa Malaysia Securities regulations and other pertinent statutory requirements.What's On Offer
