Compliance and Risk Manager

Penerangan pekerjaanEnsure compliance with relevant laws and regulatory requirements (e.g., SC REIT Guidelines, Capital Markets and Services Act, Bursa Malaysia MMLR). Monitor regulatory changes and industry developments and ensure timely updates and alignment. Report compliance matters to the Board of Directors and relevant stakeholders. Oversee internal controls and corporate governance policies to meet industry standards. Monitor adherence to Trust Deeds and agreements involving the REIT Manager and Trustee. Implement and maintain compliance and risk management frameworks. Draft, update, and enforce compliance policies and procedures. Manage incident reporting, investigations, and ensure regulatory breach protocols are followed. Conduct regular risk assessments and recommend corrective actions. Ensure data protection compliance (PDPA) and AML / CFT obligations. Serve as liaison to internal / external auditors and regulatory bodies (SC, Bursa Malaysia, BNM, etc.). Coordinate audits and inspections by regulatory authorities. Organize and support compliance-related internal and external training programs. Provide advisory support to management and operational teams on regulatory compliance.
Company Secretarial Support
- Handle corporate secretarial duties in compliance with the Companies Act 2016.
- Assist in organizing Board, Committee, and General Meetings (scheduling, notices, minutes).
- Liaise with external share registrars and secretarial firms for REIT-related matters.
- Support documentation and announcements related to income distribution, unit issuance, etc.
- Bachelor’s Degree in Law, Business, Finance, Accountancy, or equivalent.
- ICSA qualification or equivalent professional certification preferred.
- Minimum 10 years in legal, corporate secretarial, or compliance roles, preferably in capital markets or REIT.
- Strong understanding of Companies Act, CMSA, MMLR, Corporate Governance Code, REIT Guidelines, Licensing Handbook, and relevant regulations.
- Excellent communication and interpersonal skills to engage with senior stakeholders and regulators.
- Strong attention to detail with a high level of integrity and professionalism.
- Analytical, problem-solving, and risk assessment capabilities.
- Ability to manage multiple priorities and work independently.
