Head of Legal & Compliance
Job Description
Our client is a regional infrastructure and offshore services company supporting industrial projects with a strong focus on operations maintenance and engineering solutions.
The Head of Legal & Compliance provides strategic legal advice on a wide range of matters including mergers and acquisitions corporate governance financing regulatory compliance and corporate secretarial practices.
Responsibilities:
- Act as a trusted advisor to the Board and Senior Management delivering practical business-oriented legal and compliance guidance aligned with regulatory and ethical standards.
- Develop and implement a global legal and compliance strategy to support growth strategic initiatives and geographic expansion.
- Establish and oversee group-wide compliance frameworks across jurisdictions including anti-bribery AML data protection sanctions and export controls.
- Monitor regulatory developments and ensure the effectiveness of governance and compliance programs.
- Promote a strong culture of ethics and integrity overseeing whistleblowing investigations and regulatory matters.
- Lead all legal matters including commercial contracts M&A joint ventures financing IP employment property and dispute resolution.
- Oversee contract drafting negotiation and risk management for new business initiatives and partnerships.
- Standardise legal policies templates and processes to enhance efficiency and responsiveness.
- Manage disputes and litigation strategy ensuring commercially sound and cost-effective outcomes.
- Appoint and manage external counsel to deliver high-quality value-driven legal services.
- Build and lead a high-performing global legal and compliance team with consistent standards across regions.
Requirements:
- Bachelor of Laws (LL.B) or equivalent; admitted to practice law in Malaysia.
- Minimum 8-10 years of legal experience preferably with a mix of private practice and in-house roles.
- Strong expertise in corporate and commercial law with exposure to M&A EPC project contracts and financial agreements.
- Proven experience managing external counsels and handling complex legal matters independently.
- Excellent negotiation analytical and communication skills.
- Ability to balance legal risks with practical business considerations in a fast-paced environment.
