Group Legal Counsel

1. Legal Advisory & Business Support

• Provide strategic legal advice to the Board management and business units on corporate commercial contractual regulatory and operational matters.
  
• Identify legal risks and recommend appropriate mitigation strategies.
  
• Keep management updated on relevant legal and regulatory developments.
  

2. Contract Drafting Review & Negotiation

• Draft review and negotiate contracts agreements and other legal documents.
  
• Protect the Groups legal and commercial interests in contractual arrangements.
  
• Provide legal support for key transactions property development financing joint ventures and strategic initiatives.
  

3. Corporate Governance & Listed Company Matters

• Advise on corporate governance and compliance with applicable laws and Bursa Malaysia Listing Requirements.
  
• Oversee Board and shareholders resolutions corporate filings and related documentation.
  
• Work closely with the Company Secretary on listed company and regulatory matters.
  
  

4. Legal Risk & Compliance

• Establish and monitor the Groups legal risk and compliance framework.
  
• Ensure compliance with applicable laws regulations licences and contractual obligations.
  
• Develop and review relevant policies procedures and legal guidelines.
  
  

5. Dispute Resolution & Litigation

• Manage litigation arbitration adjudication disputes and claims involving the Group.
  
• Work with external counsel on dispute strategies settlements and legal proceedings.
  
• Monitor legal risks costs and potential exposure.
  

6. External Counsel Management

• Appoint instruct and manage external legal advisers.
  
• Monitor the quality effectiveness and costs of external legal services.
  

7. Legal Team Leadership

• Lead and supervise the Group Legal team and ensure effective management of legal matters.
  
• Develop team capabilities and foster a high-performance culture.
  
• Establish appropriate processes KPIs and performance standards.
  

8. Training & Awareness

• Conduct legal and compliance training for management and employees.
  
• Promote awareness of legal regulatory contractual and governance requirements.
  
  

9. Strategic Projects

• Provide legal support for M&A joint ventures restructuring investments financing property development and other strategic initiatives.
  
• Conduct legal due diligence and provide legal input on key corporate and commercial transactions.
  
• Undertake other legal and governance matters assigned by the Board or senior management.
  

Requirements

Job Requirement :

• Bachelors Degree in Law (LLB) or equivalent legal qualification.
  
• Admitted as an Advocate and Solicitor of the High Court of Malaya.
  
• Minimum 7 years of relevant post-qualification experience preferably with experience in a corporate legal department and/or reputable law firm.
  
• Strong experience in corporate commercial contractual and regulatory matters.
  
• Experience in a public listed company environment and familiarity with Bursa Malaysia Listing Requirements will be an advantage.
  
• Knowledge and experience in property development construction corporate transactions and commercial law will be highly advantageous.
  
• Strong understanding of Malaysian laws and regulations including the Companies Act 2016 and other legislation relevant to the Groups business.
  
• Experience in managing litigation arbitration and other dispute resolution matters.
  
• Experience in managing and supervising a legal team is preferred.
  

Required Skills:
