JOB RESPONSIBILITIES

  • To draft the minutes of meetings of the Board and Board Committees of MNRB Group of Companies.
  • To assist immediate supervisor in drafting the Board Decisions post the Board meeting.
  • To prepare the meeting agendas and circulate to the respective departments / units for their comments / input.
  • To coordinate the matters arising from previous meetings, i.e. prepare the paper and circulate to relevant departments / units for their updates. Thereafter, to compile all the updates received for tabling at the next meeting.
  • To collate and coordinate the meeting papers from relevant departments / units and compile them accordingly, for circulation to the Board members.
  • To make timely and accurate lodgment of statutory forms / returns to the SSM and any announcements to Bursa. To Liaise with SSM / Bursa officer on work related matters, whenever necessary.
  • To work together with CCD / Share Registrar / Agency in publication of MNRB\'s Annual Report. This includes setting of publication timeline, statutory timeline, proofreading final copy for printing, sourcing of information and confirmation of details to be published.
  • To draft Non-P&C Directors\' Written Resolution ("DWR") as directed from time to time by immediate supervisor and to prepare the extract of minutes of meetings or DWR, upon request by the relevant departments / units.

  • Liaise and render assistance to the operating units / business units and other departments relating to corporate secretarial matters.
  • Undertake the compilation of masterlist of Board and Board Committees Composition, list of tenure of Directors of the MNRB Group, list of tenure for the Group Shariah Committees members.
  • Undertake the relevant secretarial, administrative duties and other reasonable and lawful duties as directed from time to time from VP / HOD.

QUALIFICATION & EXPERIENCE

  • Degree in Business Administration / Corporate Administration.
  • A member of MAICSA or possess Company Secretary License via SSM, MIA or LL.B (optional).
  • A Member of MAICSA / LL.B (optional).
  • Have working experience in Company Secretarial Practice in Public Listed Companies or Corporate Secretarial firms (experience in Takaful / Banking would be an added advantage).
  • Well versed in Companies Act, 2016, Bursa Malaysia Securities Main Market Listing Requirements, Malaysian Code on Corporate Governance 2021, BNM\'s Policy Documents of Corporate Governance, Islamic Financial Services Act 2013. Good organizational and planning skills.
