As a Governance Consultant at BoardBe, you’ll have the opportunity to work with diverse clients, supporting board effectiveness and empowering leaders to achieve greater impact.
What You’ll Do :
- Bylaws & Policy Development : Draft, review, and update bylaws, board policies, and other governance documents to ensure they align with regulatory standards, best practices, and the unique needs of each client.
- Governance Framework Design : Collaborate with clients to design or refine governance frameworks that outline roles, responsibilities, and protocols for board operations. This includes creating structures for board committees and developing charters and terms of reference as needed.
- Policy Manual Development : Build comprehensive, customized policy manuals that serve as a central governance resource, ensuring board members and executive leaders are aligned and informed.
- Board Meeting Management : Provide support for organizing effective board meetings, including preparing detailed agendas, compiling board packages, scheduling, and maintaining board calendars. Ensure materials are thorough, accessible, and distributed in a timely manner.
- Minutes and Documentation : Attend board meetings (virtually or in person) to take clear, actionable minutes that accurately reflect discussions and decisions. Create structured records to support compliance, transparency, and accountability.
- Board Development and Training : Facilitate board member onboarding and ongoing governance education, ensuring board members understand their fiduciary duties, roles, and responsibilities. Offer guidance on best practices and governance trends.
- Compliance and Risk Management : Help clients establish governance policies that mitigate risk and support compliance, such as conflict of interest policies, board succession planning, and codes of conduct.
- Annual Work Plans and Evaluation : Assist in developing annual board work plans, board self‑evaluation tools, and performance metrics to support continuous improvement and board effectiveness.
What We’re Looking For :
Strong experience in board governance and policy development, ideally with exposure to a variety of organizational structures and sectors.Proven ability to write clear, effective bylaws, board policies, and governance documents.A strategic thinker who’s detail‑oriented, organized, and thrives in a client‑facing role.Ability to work independently with clients and communicate effectively across virtual platforms.Why BoardBe?
