Legal & Regulatory Associate

Overview

The Legal Associate will report directly to the Head of Legal and play an integral role in supporting the Group of Companies’ regulatory, contractual, and corporate governance matters. This position requires a detail-oriented and proactive professional who can ensure compliance with applicable laws and regulations, safeguard the Group of Companies’ legal interests, and contribute to the smooth execution of business operations. Responsibilities

Contract Management :

Draft, review, and negotiate a wide range of contracts and legal documents, including Master Service Agreements (MSAs), T&Cs for sales and procurement contracts, tender documents and the like, ensuring accuracy and compliance with applicable laws and company policies. Legal Advisory :

Provide timely and practical legal advice to management and stakeholders on a variety of legal, regulatory, and compliance issues impacting operations and projects. Risk Mitigation & Compliance :

Identify potential legal risks in transactions, operations, and strategic initiatives, and recommend solutions to safeguard the Group of Companies’ interests. Conduct periodic internal audits (including Orderdesk Audits) to strengthen compliance and awareness. Contract Administration :

Maintain and update the contract database, track key obligations and deadlines, and ensure timely stamping and proper safekeeping of executed agreements. Research, Training & Awareness :

Conduct legal research and stay abreast of legislative, regulatory, and case law developments. Provide updates to management and deliver regular training sessions to strengthen contract compliance and risk awareness. Governance Support :

Assist in drafting board and shareholder resolutions, support periodic corporate regulatory filings, and coordinate regular board meetings at subsidiary level. Regulatory Licensing :

Support applications for telecom-related licences and approvals across Southeast Asia. Maintain oversight of all related regulatory submissions and ongoing compliance obligations Data Room Management :

Oversee the setup and maintenance of legal data room for due diligence and audit readiness. Standardisation & Policy :

Develop, implement, and maintain SoAs (Schedules of Authorisation) with regular reviews and training. Ensure subsidiary companies adopt consistent documentation templates. Coordination with External Counsel / CoSec :

Manage relationships with external lawyers and company secretaries across different jurisdictions to ensure timely advice and filings. Cross-Functional Collaboration :

Work closely with Finance, HR, Operations, and Business Unit teams to provide legal support aligned with commercial and operational objectives. General Legal Support :

Assist with internal audits, corporate governance reviews and ad-hoc legal projects as assigned by the Head of Legal to strengthen compliance and awareness across multiple jurisdictions.
