Job Description
- Prepare Circular Resolutions, Annual Returns, and other statutory forms / documents.
- Ensure accurate and timely submission of statutory forms and returns to the Companies Commission of Malaysia (SSM), Bursa Malaysia Securities Berhad, and other relevant authorities. Maintain and update statutory records and registers.
- Prepare documentation for Company Secretary certification, including forms for opening bank / CDS accounts and updating authorised signatories.
- Oversee the drafting, circulation, execution, and filing of Board, Committee, and Shareholder resolutions and minutes, while ensuring proper documentation and record-keeping.
- Lead the planning, organisation, and coordination of Board, Committee, and General Meetings, including the preparation of agendas, board packs, and ensuring compliance with corporate governance practices.
- Provide guidance and advisory support to the Board and Management on matters relating to the Company’s Constitution, Joint Venture / Shareholders’ Agreements, Companies Act 2016, Securities Commission Guidelines, and Bursa Malaysia Listing Requirements.
- Liaise with external auditors during audit reviews, as well as external company secretaries and lawyers for overseas subsidiaries on secretarial matters.
- Support corporate exercises such as IPOs, fund-raising activities, mergers & acquisitions, and other restructuring initiatives by ensuring compliance, due diligence, and disclosure requirements are fulfilled.
- Supervise and mentor junior secretarial staff, ensuring quality work, compliance standards, and ongoing professional development.
- Undertake additional managerial or corporate secretarial responsibilities as assigned from time to time.
Requirements
Possess at least a Professional Certificate, Bachelor’s Degree, Postgraduate Diploma, Professional Degree in Business Administration / Management, Secretarial Studies, MAICSA qualification, or equivalent.Minimum 8–10 years of corporate secretarial experience, including at least 5 years in a managerial capacity.Proven track record in managing public listed companies, compliance with Bursa Malaysia requirements, and participation in IPO exercises.Strong knowledge of the Companies Act 2016, Securities Commission Guidelines, Bursa Malaysia Listing Requirements, and other relevant statutory regulations.Proficient in English and Bahasa Malaysia; proficiency in Mandarin is an added advantage.Excellent interpersonal, leadership, and communication skills, with the ability to engage effectively with Board members, regulators, and external stakeholders.Detail-oriented, proactive, and capable of working under pressure to meet tight deadlines.Requirements
