The Head of Legal is responsible for leading the Company’s legal function and ensuring all commercial and contractual obligations are met in a manner that protects and maximizes Ditrolic Energy’s interests. The role provides strategic legal counsel, manages risks, ensures compliance with applicable laws and regulations, and supports the business in its growth and project execution across the region.
Key Responsibilities
Contract Management & Negotiation
- Review, draft, and negotiate a variety of contracts, including Project Deeds, Tender Deeds, Power Purchase Agreements (PPAs), consultancy agreements, EPC contracts, service contracts, MOU, NDA and corporate contracts under the Group.
- Provide legal support during tenders, including drafting and reviewing correspondences, contracts, tender documents, insurance claims, and managing contract risk.
- Oversee contracts implementation and management, draft and implement policies, handle compliance matters, perform legal research, and manage external lawyers appointed for projects.
Risk Management & Legal Advisory
Identify key project risks and develop commercially focused solutions to manage and mitigate risks with tender teams.Provide legal advice and guidance on all contracts and projects in the region with a strong focus on renewable energy.Manage litigation and disputes, including systematically documenting cases, coordinating with external counsel, and adopting commercially sound strategies to protect the company’s interests.Corporate Governance & Compliance
Support internal approval processes by drafting legal memos, attending project review meetings, and ensuring compliance with policies.Oversee corporate exercises, including ordinary / preference share issuances, mergers, acquisitions, restructurings, and other equity or corporate transactions, ensuring alignment of corporate actions with the company constitution, corporate governance codes, and applicable laws, including the review and preparation of shareholders’ agreements, subscription agreements, constitution and other related documents.Prepare, review, and advise on board papers and directors’ resolutions, attend directors’ meetings to provide legal and governance guidance, and provide monthly legal updates and reports to ensure compliance with governance and regulatory requirements.Ensure adequate legal reporting and sharing of knowledge within the legal function.Requirements
Bachelor’s degree in Law (LLB) or equivalent qualification.Minimum 5–7 years’ working experience, ideally in-house as Legal Counsel or in a law firm focusing on construction, infrastructure, or energy projects.Strong exposure to Power Purchase Agreements, equipment leasing agreements, rooftop leasing, joint venture agreements, and tender submissions.Excellent legal drafting, negotiation, and communication skills with high professionalism at all levels.Strong risk assessment and mitigation abilities, with a commercially pragmatic approach to problem-solving.International / regional exposure is advantageous.Resilient, driven, and detail-oriented with the ability to work independently and challenge the status quo.Why Join Us
