Purpose of the Role :
The Vice President Governance, Compliance & Legal is a strategic leadership role responsible for shaping and leading the governance, regulatory compliance, legal and risk management strategies. This individual will ensure that the organization operates within the law, maintains the highest standards of corporate governance, and adheres to applicable international and domestic regulatory frameworks.
As a key member of the leadership team, the VP will be involved in structuring / enhancing the Governance Framework of Group that is compatible to the different locations / territories the Group have presence in. The VP will also be responsible to establish / enhance the system to monitor compliance with all governance related matters. The VP will also be responsible for reporting on Groups Governance status to the Board Sustainability Committee.
Job Scope :
1. Governance, Compliance & Risk Oversight
- Design and lead the implementation of an integrated Governance, Compliance & Risk (GCR) framework aligned with international best practices.
- Maintain oversight of the organization’s compliance with laws, regulatory requirements, policies, and procedures across all jurisdictions of operation.
- Regularly assess legal, compliance, and regulatory risk exposure; working with relevant departments / individuals to develop mitigation strategies and lead internal compliance reviews.
- Serve as the primary liaison with regulatory bodies and maintain relationships with relevant authorities.
- Lead the development and delivery of governance and compliance training programs for leadership and staff globally.
2. Policy & Standards Development
Establish and maintain governance and compliance policies, guidelines, and standard templates across the Group.Periodically review and revise policies and templates to reflect legal and regulatory developments and evolving business needs.Drive consistency and efficiency in governance documentation and policy application across business units.3. Strategic Leadership & Stakeholder Engagement
Act as a trusted legal and governance advisor to the CEO, Board of Directors, and other senior stakeholders.Participate in key strategic decisions and contribute legal insight into risk, opportunity, and compliance impact assessments.Represent the organization in legal or regulatory proceedings, public forums, or industry as necessary.Lead, develop, and mentor a high-performing team of governance, compliance and legal professionals.4. Areas to support VP Legal where and when necessary
Support in delivering legal oversight across the business, providing input and assistance on a broad range of legal matters, including commercial contracts, corporate matters, and dispute resolution.Collaborate with internal stakeholders to review, draft, and negotiate various commercial agreements, including supplier and client contracts, NDAs, and partnership arrangements.Assist in managing external counsel relationships, particularly in the context of litigation, or specialized transactions.Contribute to legal aspects of strategic projects, such as new market entry, investments, and cross-functional initiatives, ensuring alignment with internal policies and applicable regulations.Assist with the preparation of legal documentation, internal memos, and risk assessments to support executive and board-level decision-making.Review pre-award tender documents to identify and mitigate legal, commercial, and geopolitical risks.Lead negotiation strategies for high-value or complex contracts and manage contract lifecycles, from formulation to dispute resolution.Ensure risk allocation, indemnities, insurance requirements, liability caps, and dispute resolution clauses are optimized for the Group’s interest.Maintain a central contract knowledge base to enable institutional learning and reduce contractual risks.C. Financial Instruments & Insurance
Oversee legal aspects of letters of credit, bid / performance bonds, guarantees, and other financial instruments in collaboration with Finance and Treasury teams.Ensure legal review and risk mitigation for all non-employee insurance policies and manage relationships with insurance brokers.Establish and maintain protocols for insurable risk identification and recommend coverage enhancements as business needs evolve.Requirements :
Minimum Qualifications : Bachelor’s degree in Law (LLB) from a recognized university.Minimum 15–20 years of governance, compliance and legal experience, including 5+ years in a senior leadership / executive role in Governance and Compliance function.Strong knowledge of regulatory requirements, compliance standards, and governance best practices.Ability to communicate complex regulatory concepts clearly and effectively.Proficiency in using compliance management software and tools.Independent and practical problem‑solving ability.Experience in drafting governance and compliance guidelines / policies.Good governance and compliance oversight practical experience.Excellent contract drafting and negotiations skills.Basic understanding of accounting & financial principles.Experience in reviewing contracts and leading bid evaluation activities, including face‑to‑face negotiations with clients.Seniority Level
