Job Overview : We are seeking an experienced Corporate Secretary to provide high-quality secretarial support while ensuring compliance with the Malaysian Companies Act and relevant offshore legislation. The role involves managing a portfolio of companies and overseeing corporate secretarial functions with the utmost attention to detail and efficiency.
Key Responsibilities : Handle a wide range of corporate secretarial duties, ensuring full compliance with both Malaysian and offshore regulatory requirements.Independently manage a portfolio of client companies, performing tasks as a MAISCA Certified Secretary, including certified true copies (CTCs) of documents and appointment as the company secretary.Draft and prepare board meeting minutes, agendas, resolutions for directors and shareholders.Maintain and update statutory audit reviews and relevant filings.Ensure compliance with KYC requirements for registered agents and financial institutions in relation to company operations.Oversee the maintenance and organization of corporate legal documents and records.Safeguard and structure the legal setup of assigned business units.Develop and align corporate legal documents and policies in collaboration with the legal department.Lead and support special projects and tasks as required.
Requirements : Must be a registered member of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or hold an equivalent certification.5-10 years of corporate secretarial experience, preferably gained from law firms, top-tier corporate service firms, or in-house corporate secretarial teams.Knowledge of offshore jurisdiction regulations and compliance is a plus.Familiar with XBRL filings, ACRA e-filing processes, and regulatory filings.Proven ability to handle complex and high-volume workloads without sacrificing quality or responsiveness.Exceptional organizational and time-management skills with a sharp eye for detail.Ability to maintain the highest level of confidentiality, discretion, and integrity in all dealings.Strong communication skills in English and Chinese, with the ability to liaise with both local and international stakeholders.Previous experience in Labuan Trust Services is an advantage.Proficiency in MS Office (especially Excel, Word, PowerPoint) and Visio.
